BY CLICKING "I ACCEPT" OR BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL TERMS INCORPORATED BY REFERENCE.These Terms of Service ("Terms") govern your access to and use of the website, web applications, and mobile applications (the “Site”) and the underlying smart contracts, collectively known as the RealFi Platform (the "Platform"). The Platform is made available to you by the RealFi Foundation, a foundation company established in the Cayman Islands (the "Foundation," "we," "us," or "our").When you read these Terms, "you," "your," and "User" refer to you as an end-user of the Platform. Your access to and use of the Platform is conditioned on your acceptance of and compliance with these Terms.

Introduction & Eligibility
1.1. Agreement. By accessing the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.1.2. Eligibility. To be eligible to use the Platform, you must be of legal age to enter into these Terms where you live and have the legal capacity to do so.1.3. Restricted Territories. The Platform is strictly NOT offered to persons or entities who reside in, are citizens of, are incorporated in, or have a registered office in any Restricted Territory (a "Restricted Person"). We do not make exceptions. Use of a virtual private network (VPN) or other means by Restricted Persons to access the Platform is prohibited. * "Restricted Territory" includes, but is not limited to, the United States of America (including its territories), the People's Republic of China, the Hong Kong Special Administrative Region, Canada, Singapore, and any other state, country, or region that is subject to sanctions or where the use of such platforms is unlawful.1.4. Compliance. You are solely responsible for ensuring that your use of the Platform complies with all laws, regulations, and directives relevant to your jurisdiction.
The Platform
2.1. Non-Custodial Interface. The Platform is a non-custodial interface that allows you to interact with a set of decentralized, autonomous smart contracts deployed on the BNB Chain or other compatible blockchain networks. The Foundation has no custody or control over your digital assets, which are held solely by you in your own self-custodial wallet.2.2. Wallet Security. You are solely responsible for securing your wallet, private keys, passwords, or other credentials. Any loss of access to your wallet may result in the irretrievable loss of your digital assets. We cannot assist you in recovering lost assets.2.3. Modifications. We reserve the right to modify, suspend, or discontinue, temporarily or permanently, all or any part of the Platform with or without notice.
Services
The Platform provides an interface to access two primary sets of services deployed via smart contracts:3.1. RUSD Stablecoin Protocol. A protocol that allows users to mint the $RUSD stablecoin against accepted collateral and stake $RUSD as $sRUSD to earn yield generated by the protocol's treasury.3.2. RWA Launchpad. A curated platform that facilitates the primary offering of digital tokens representing ownership or revenue rights in real-world assets ("RWA Tokens").3.3. Role of the Foundation. The Foundation solely provides the technical interface to access these services. We are not a counterparty to any transaction. RWA Tokens are issued by independent, third-party entities ("Issuers"), typically Special Purpose Vehicles (SPVs) domiciled in the British Virgin Islands (BVI) or other jurisdictions. The Foundation is not a broker, dealer, financial institution, or creditor.
User Obligations and Representations
4.1. KYC/AML. To access certain services, particularly the RWA Launchpad, you must successfully complete our mandatory "Know Your Customer" (KYC) and "Anti-Money Laundering" (AML) checks. You represent that all information you submit will be true, accurate, and complete.4.2. User Conduct. You agree not to engage in any activity that is unlawful, fraudulent, or harmful. This includes, but is not limited to, money laundering, terrorist financing, market manipulation, or infringing on the intellectual property rights of others.4.3. Sophistication. You represent that you have sufficient knowledge and experience in blockchain technology, digital assets, and financial matters to evaluate the merits and risks of using the Platform.
Fees and Payment
5.1. Gas Fees. All transactions on the blockchain require the payment of a transaction fee ("Gas Fee"). You are responsible for all Gas Fees associated with your use of the Platform.5.2. Protocol Fees. Certain interactions with the Platform's smart contracts, such as minting/redeeming $RUSD or participating in the Launchpad, may be subject to protocol fees. These fees are disclosed to you before you engage in a transaction.5.3. Taxes. You are solely responsible for determining and paying any and all taxes, duties, and assessments associated with your use of the Platform.
Risks Borne by Users
YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE, ACCEPT, AND ASSUME THE FOLLOWING RISKS:6.1. Smart Contract Risk. The smart contracts you interact with are experimental. They may contain security vulnerabilities, errors, or bugs that could be exploited by third parties, potentially leading to the total loss of your digital assets.6.2. Market and Asset Risk. The prices of digital assets, including RWA Tokens and the underlying real-world assets they represent, are extremely volatile. The value of RWA Tokens can be affected by macroeconomic conditions, interest rate changes, and other real-world factors. There is no guarantee against losses.6.3. Third-Party and Counterparty Risk. The Platform relies on third-party services, including oracles, cloud storage, and the underlying blockchain network. RWA Tokens are issued by third-party Issuers. The failure, default, fraud, or insolvency of any of these third parties could negatively impact the Platform and your assets.6.4. Regulatory Risk. The regulatory status of digital assets and RWA is unclear or unsettled in many jurisdictions. Future regulatory actions could negatively impact the Platform, restrict its availability, or affect the value of your assets.6.5. Security Risk. Hackers or other malicious groups may attempt to interfere with the Platform, your wallet, or the underlying network in various ways, including malware attacks, phishing, and denial-of-service attacks, which may result in losses.
Disclaimers
7.1. "AS IS" WARRANTY. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE FOUNDATION DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.7.2. NO GUARANTEE. We do not warrant that your access to the Platform will be uninterrupted, timely, secure, or free from error, viruses, or other harmful components.7.3. NO FINANCIAL ADVICE. The Foundation is not your financial advisor. All information provided on the Platform is for informational purposes only and does not constitute investment advice, financial advice, or a recommendation to enter into any transaction.
Limitation of Liability
YOU UNDERSTAND AND AGREE THAT THE FOUNDATION, ITS AFFILIATES, AND LICENSORS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL, AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS IS LIMITED TO US$100.
Indemnity
You agree to hold harmless and indemnify the Foundation and its affiliates, officers, agents, and employees from any claim, liability, loss, or damage arising out of your breach of these Terms, your misuse of the Platform, or your violation of any applicable laws.
Intellectual Property
The Foundation owns all legal right, title, and interest in the Platform and its materials, including all intellectual property rights. Your use of the Platform does not grant you ownership of or any other rights to this intellectual property.
Privacy Policy
Our Privacy Policy describes how we collect, use, and disclose your personal information and is incorporated by reference into these Terms. You agree to the collection and use of your data in accordance with our Privacy Policy.
Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of the Cayman Islands. All disputes arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered in the Cayman Islands in accordance with its applicable arbitration rules.
Miscellaneous
13.1. Entire Agreement. These Terms constitute the entire agreement between you and the Foundation.13.2. Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.13.3. No Waiver. Our failure to enforce any provision of these Terms will not be deemed a waiver of such provision.13.4. Third-Party Rights. There are no third-party beneficiaries to these Terms.
